1) Acceptance of Terms

These Terms & Conditions (“Terms”) govern your access to and use of ico.rocafi.com (the “Site”) and any related services, dashboards, or applications (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

2) Eligibility & Accounts

• You must be at least 18 years old and have the legal capacity to enter into these Terms.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
• You warrant that all information you provide is accurate, complete, and kept up-to-date.

3) KYC/AML & Sanctions Screening

We may require identity verification and screening in accordance with anti-money laundering (AML), counter-terrorist financing (CTF), and sanctions requirements. You agree to provide accurate information and cooperate with any verification requests. We may deny, suspend, or terminate access to the Services where we cannot complete verification or where use would contravene applicable restrictions (including sanctions lists).

4) Tokens, Utility, and Restrictions

Any token, credit, or digital asset referenced by the Site (collectively, “Tokens”) may be intended for utility within our ecosystem and not as an investment or a promise of profits. Nothing on the Site constitutes financial, investment, legal, or tax advice. You are solely responsible for evaluating the suitability and legality of any participation.

• We may impose purchase limits, vesting schedules, lock-ups, or participation restrictions.
• We reserve the right to modify token parameters, allocation logic, or eligibility criteria as necessary for security, compliance, or operational reasons.
• Where staking or rewards features are available, rates or rewards may change or be discontinued at any time without notice.

5) Prohibited Conduct

You agree not to, directly or indirectly:

• Use the Services for unlawful activities, fraud, money laundering, or sanctions evasion.
• Interfere with or disrupt the Services, bypass security controls, or probe/vulnerability-scan without authorization.
• Use bots, scrapers, or automated systems that degrade service or violate rate limits.
• Upload malware, malicious code, or content that infringes intellectual property or privacy rights.
• Misrepresent affiliation, impersonate others, or manipulate markets.

6) Intellectual Property

The Services and all related content, trademarks, logos, and software are owned by us or our licensors and are protected by applicable intellectual property laws. You receive a limited, revocable, non-exclusive, non-transferable license to access and use the Services solely for their intended purpose. You may not copy, modify, distribute, or create derivative works unless expressly permitted.

9) Digital Asset Risks & Disclaimers

• Regulatory changes or actions may affect availability, functionality, or value of Tokens.
• Transactions may be irreversible; erroneous transfers, lost private keys, or phishing attacks can lead to permanent loss.
• Network congestion, forks, smart-contract bugs, or validator issues can disrupt services.
• Nothing on the Site constitutes investment, legal, or tax advice. Seek independent professional advice.

10) No Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. We do not warrant that the Services will be uninterrupted, secure, or error-free.

11) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE OR OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR THE SERVICE GIVING RISE TO THE CLAIM IN THE 3 MONTHS PRECEDING THE EVENT, OR (B) USD 100.

12) Indemnification

You agree to defend, indemnify, and hold harmless us and our affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, violation of these Terms, or infringement of any rights of a third party.

13) Taxes

You are solely responsible for determining and paying any taxes, duties, or similar governmental assessments associated with your use of the Services or any Token activities.

14) Suspension & Termination

We may suspend or terminate your access to the Services at any time with or without notice for any reason, including breach of these Terms, suspected unlawful activity, or compliance concerns. Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive (e.g., IP, disclaimers, liability limits, indemnity, governing law) will survive termination.

15) Governing Law & Dispute Resolution

These Terms are governed by the laws of England and Wales, without regard to conflict-of-laws principles. You agree that the courts of England and Wales shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Services.

16) Changes to the Terms

We may update these Terms from time to time. Changes take effect when posted on this page with an updated “Effective date.” Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
